the headstead is the clamp thats holds the bars onto the lower fork clamp, threadless means that it is no thread to hold the headset onto the forks, just allen keyed on, clamped on.

the stem holds the forks to the bars and the headset is the bearings and cups and spacers etc that support the fork in the head tube and the threadless means that the bearing cone adjuster is threadless and is adjusted by the preload bolt in the top of the fork
